The agreement between you and ALGORAM. Please read it carefully before creating an account or connecting your broker.

By registering for, or using, ALGORAM in any way, you agree to be bound by these Terms & Conditions, our Privacy Policy, and our Risk Disclaimer. If you do not agree, do not use the platform.

Acceptance of Terms

These Terms & Conditions ("Terms") form a legally binding agreement between you ("User", "you") and ALGORAM Technologies Pvt. Ltd. ("ALGORAM", "we", "us", "our"), governing your access to and use of the ALGORAM website, dashboard, mobile experience, and any related services (collectively, the "Platform").

By creating an account, clicking "Register", or otherwise accessing the Platform, you confirm that you have read, understood, and agree to these Terms, along with our Privacy Policy and Risk Disclaimer, which are incorporated here by reference.

About ALGORAM & Nature of Service

ALGORAM is a technology platform that provides algorithmic trading automation software for equities and index/stock options (including NIFTY and BANKNIFTY). We build and run pre-configured trading strategies that connect to your own broker account via official broker APIs to analyze markets and place orders automatically on your behalf, based on the settings you choose.

  • ALGORAM is a software provider, not a broker, bank, or exchange.
  • ALGORAM is not a SEBI-registered investment adviser, research analyst, portfolio manager, or stock broker.
  • All trades are executed in your own broker account, using your own capital.
  • Strategy configuration (instruments, capital allocation, risk settings) is set by you or applied by default and can be changed by you at any time.

Eligibility

To use ALGORAM, you must:

  • Be at least 18 years of age and legally capable of entering into a binding contract under the Indian Contract Act, 1872.
  • Hold a trading and demat account with a supported broker in your own name, completed via that broker's own KYC process.
  • Not be barred from using trading or brokerage services under any applicable law, SEBI order, exchange circular, or court order.
  • Provide accurate, current, and complete information when registering and keep it updated.

We may refuse service, suspend, or terminate any account where these conditions are not met.

Account Registration & Security

You are responsible for maintaining the confidentiality of your ALGORAM login credentials, broker credentials, and any two-factor authentication codes, and for all activity that occurs under your account.

  • Notify us immediately at info@algoram.in if you suspect unauthorized access to your account.
  • You may not share your account, resell access, or allow another person to use your login.
  • We may require additional verification before enabling live trading on your account.

Broker Account & API Authorization

ALGORAM connects to your trading account through your broker's official API, using access you explicitly grant during setup. By connecting your broker account, you authorize ALGORAM to view your positions/holdings and place, modify, and cancel orders on your behalf, strictly according to the strategies and risk settings you have configured.

  • ALGORAM cannot withdraw funds from your trading or bank account.
  • ALGORAM cannot transfer funds between accounts.
  • Broker API keys/tokens are stored encrypted and are never shared with third parties.
  • You can revoke API access at any time from your broker's own dashboard or app; doing so will stop ALGORAM from placing further orders on that account.
  • You remain solely responsible for maintaining sufficient funds, margin, and collateral in your broker account, and for complying with your broker's own terms, margin policies, and risk-management actions (including square-offs).

Subscription Plans, Fees & Billing

Access to ALGORAM's automated strategies is offered under subscription plans (billed monthly or annually) and, on select plans, a profit-share model, as described on our Pricing page at the time of purchase.

  • Subscription fees are charged in advance for the billing period you select and are exclusive of applicable taxes (e.g. GST) unless stated otherwise.
  • Where a profit-share plan is chosen, the applicable share is calculated on realized net profits as displayed in your dashboard, on the terms shown for that plan.
  • Prices, plan features, and fee structures may be revised prospectively; any change will not affect a billing period you have already paid for.
  • Failure to renew or a failed payment may result in suspension of live/paper trading automation until payment is resolved.

Free Trial, Refunds & Cancellation

New users may be eligible for a free demo/trial period, as described on our Pricing page, to evaluate the Platform before subscribing. During any free trial, no payment is due, and you may stop using the Platform at any time without charge.

  • You may cancel a paid subscription at any time; cancellation stops future billing but does not itself refund the current billing period.
  • Because access, compute, and strategy signals are provisioned for you from the start of each billing period, subscription fees already paid are non-refundable except where required by applicable law, or where we are unable to provide the service due to a fault on our end.
  • Refund or billing disputes should be raised within 7 days of the charge at info@algoram.in; we will review each request on its facts.
  • No refund is due for losses arising from trading activity itself — subscription fees pay for access to the software, not for trading outcomes.

Trading Risk Acknowledgment

Algorithmic trading in equities, futures, and options carries substantial risk of loss, including the potential loss of your entire capital. By using ALGORAM you acknowledge that:

  • Automated strategies can lose money, including during periods of market volatility, low liquidity, or unusual price action.
  • Backtested or historical performance figures do not guarantee similar results in live markets.
  • Technical issues — internet outages, broker downtime, API rate limits, or exchange interruptions — can affect order placement, modification, or exit timing.
  • You are solely responsible for your own trading decisions, including the strategies and risk settings you choose to enable.

No Investment Advice & SEBI Compliance

Nothing on the Platform constitutes investment, legal, or tax advice, and no ALGORAM communication should be treated as a personalized recommendation to buy or sell any security. ALGORAM is not registered with SEBI as an investment adviser, research analyst, or portfolio manager, and does not offer such regulated advisory services.

You are responsible for ensuring your own trading activity complies with applicable SEBI regulations, exchange bye-laws, and tax obligations (including reporting of F&O income). We recommend consulting a SEBI-registered investment adviser and a qualified tax professional for advice specific to your situation.

Acceptable Use Policy

You agree not to:

  • Use the Platform for any unlawful purpose, or in a way that violates SEBI regulations, exchange rules, or any other applicable law.
  • Attempt to reverse-engineer, decompile, scrape, or copy ALGORAM's strategy logic, source code, or underlying algorithms.
  • Interfere with, overload, or attempt to gain unauthorized access to the Platform, its APIs, or other users' accounts.
  • Use the Platform to place orders on behalf of a third party without our prior written consent.
  • Misrepresent your identity or provide false KYC/verification information.

Violation of this policy may result in immediate suspension or termination of your account, in addition to any other remedies available to us in law.

Intellectual Property Rights

The Platform, including its strategies, algorithms, source code, dashboards, design, trademarks (including "ALGORAM" and our logo), and all related content, is the exclusive property of ALGORAM Technologies Pvt. Ltd. or its licensors, and is protected under Indian and international intellectual property law.

Your subscription grants you a limited, non-exclusive, non-transferable, revocable licence to use the Platform for your own trading, for as long as your subscription is active. No ownership rights are transferred to you.

Third-Party Services

The Platform integrates with third-party services — including your broker's trading API, payment gateways, and communication channels such as WhatsApp and Telegram. Your use of those services is governed by their own terms and privacy policies, and ALGORAM is not responsible for their acts, omissions, downtime, or policy changes.

Limitation of Liability & Indemnification

To the maximum extent permitted by applicable law, ALGORAM Technologies Pvt. Ltd., its directors, employees, and affiliates shall not be liable for any trading losses, or for any indirect, incidental, special, or consequential damages (including loss of profits or data) arising from your use of, or inability to use, the Platform — including losses caused by broker outages, API failures, market conditions, or your own configuration choices.

You agree to indemnify and hold ALGORAM harmless from any claim, loss, or expense (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Platform, or your violation of any law or third party's rights.

Suspension & Termination

You may stop using the Platform and disconnect your broker account at any time. We may suspend or terminate your access, with or without notice, where:

  • You breach these Terms, the Acceptable Use Policy, or applicable law.
  • Your subscription payment fails or lapses.
  • We are required to do so by a regulator, exchange, broker, or court order.
  • Continuing to provide the service would expose ALGORAM, other users, or the markets to undue risk (e.g. a detected system fault).

Termination does not entitle you to a refund of fees already paid, except as set out in Section 7, and does not affect any open positions in your broker account, which remain yours to manage directly with your broker.

Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Subject to applicable law, any dispute arising out of or relating to these Terms or your use of the Platform shall first be addressed through good-faith negotiation, and failing resolution, shall be subject to arbitration under the Arbitration and Conciliation Act, 1996, seated in Gujarat, India, with the courts at Gujarat having exclusive jurisdiction over any matter not covered by arbitration.

Changes to These Terms

We may update these Terms from time to time to reflect changes in our services, pricing, or legal requirements. Material changes will be notified via the Platform, email, or another reasonable channel. Continued use of the Platform after an update takes effect constitutes acceptance of the revised Terms. We recommend reviewing this page periodically.
